Identification of the Seller \u2013 Trade mark<\/h2><p data-start=\"660\" data-end=\"842\">These General Terms and Conditions of Sale (hereinafter \u00abGTC\u00bb) govern sales concluded via the website <strong data-start=\"765\" data-end=\"785\">tableinmotion.eu<\/strong> and\/or by a quotation issued under the brand name <strong data-start=\"822\" data-end=\"841\">TABLE IN MOTION<\/strong>.<\/p><p data-start=\"844\" data-end=\"938\"><strong data-start=\"844\" data-end=\"863\">TABLE IN MOTION<\/strong> is a <strong data-start=\"872\" data-end=\"894\">trademark<\/strong> (trade name) operated by the company:<\/p><p data-start=\"940\" data-end=\"1225\"><strong data-start=\"940\" data-end=\"952\">MEDEQUIP<\/strong>, <strong data-start=\"954\" data-end=\"961\">SAS<\/strong> in the share capital of <strong data-start=\"976\" data-end=\"987\">1 000 \u20ac<\/strong>, whose registered office is situated <strong data-start=\"1020\" data-end=\"1075\">51 Boulevard Lazare Carnot, 31000 Toulouse (France)<\/strong>, registered with the <strong data-start=\"1093\" data-end=\"1109\">Toulouse Trade and Companies Register<\/strong> under number <strong data-start=\"1125\" data-end=\"1140\">100 403 419<\/strong>,<br data-start=\"1141\" data-end=\"1144\" \/><strong data-start=\"1144\" data-end=\"1189\">Intra-Community VAT number: FR49100403419<\/strong>.<br data-start=\"1190\" data-end=\"1193\" \/>Email: <strong data-start=\"1201\" data-end=\"1224\"><a class=\"decorated-link cursor-pointer\" rel=\"noopener\" data-start=\"1203\" data-end=\"1222\">contact@tableinmotion.eu<\/a><\/strong>.<\/p><p data-start=\"1227\" data-end=\"1277\">MEDEQUIP is hereinafter referred to as <strong data-start=\"1261\" data-end=\"1276\">\u00abSalesperson\u00bb<\/strong>.<\/p><p data-start=\"1279\" data-end=\"1410\">These Terms and Conditions apply <strong data-start=\"1310\" data-end=\"1360\">exclusively for business customers (B2B)<\/strong>. No sales are made to consumers.<\/p><hr data-start=\"1412\" data-end=\"1415\" \/><h2 data-section-id=\"73nk1z\" data-start=\"1417\" data-end=\"1456\">2. Scope \u2013 Acceptance<\/h2><p data-start=\"1457\" data-end=\"1709\">These Terms and Conditions of Sale apply to all sales of products and\/or services offered under the TABLE IN MOTION brand by the Seller to a business customer (hereinafter the \u00abCustomer\u00bb) in France, the European Union and internationally.<\/p><p data-start=\"1711\" data-end=\"1860\">Any order implies the Customer\u2019s full and unconditional acceptance of these Terms and Conditions of Sale, to the exclusion of any other document, unless the Seller has given its written consent.<\/p><hr data-start=\"1862\" data-end=\"1865\" \/><h2 data-section-id=\"16g9pk7\" data-start=\"1867\" data-end=\"1919\">3. Products \u2013 Information \u2013 Contractual scope<\/h2><p data-start=\"1920\" data-end=\"2141\">In particular, the Seller markets <strong data-start=\"1959\" data-end=\"1999\">professional tables and equipment<\/strong>, including products <strong data-start=\"2019\" data-end=\"2056\">customised \/ made to measure<\/strong> (e.g. ELITE tables configured according to options, colours, accessories and specifications).<\/p><p data-start=\"2143\" data-end=\"2402\">The content presented on <strong data-start=\"2170\" data-end=\"2190\">tableinmotion.eu<\/strong> (images, descriptions, technical specifications, videos, diagrams) are provided for information purposes only. Only the <strong data-start=\"2296\" data-end=\"2308\">order<\/strong>, the <strong data-start=\"2313\" data-end=\"2330\">quote accepted<\/strong> and its annexes (configuration, options, etc.) are legally binding.<\/p><hr data-start=\"2404\" data-end=\"2407\" \/><h2 data-section-id=\"15t1bre\" data-start=\"2409\" data-end=\"2443\">4. Quotation \u2013 Formation of the contract<\/h2><h3 data-section-id=\"11oss1s\" data-start=\"2444\" data-end=\"2457\">4.1 Quotation<\/h3><p data-start=\"2458\" data-end=\"2607\">Every sale is preceded by a <strong data-start=\"2488\" data-end=\"2497\">quote<\/strong>. Unless otherwise stated, the quotation is valid <strong data-start=\"2544\" data-end=\"2574\">7 (seven) calendar days<\/strong> from the date of issue.<\/p><h3 data-section-id=\"jrwi1u\" data-start=\"2609\" data-end=\"2639\">4.2 Acceptance \u2013 Order<\/h3><p data-start=\"2640\" data-end=\"2668\">The command consists of:<\/p><ul data-start=\"2669\" data-end=\"2812\"><li data-section-id=\"1ff3qdn\" data-start=\"2669\" data-end=\"2770\">written acceptance of the quotation (signature, \u201cagreed\u201d, or explicit confirmation by email), and<\/li><li data-section-id=\"19k6c7c\" data-start=\"2771\" data-end=\"2812\">payment in accordance with Article 6.<\/li><\/ul><p data-start=\"2814\" data-end=\"2942\">The Seller reserves the right to refuse an order in the event of an irregularity, a previous outstanding payment, or an obvious commercial risk.<\/p><hr data-start=\"2944\" data-end=\"2947\" \/><h2 data-section-id=\"vuf8mj\" data-start=\"2949\" data-end=\"3003\">5. Prices \u2013 Services not included \u2013 Exchange rates<\/h2><h3 data-section-id=\"1lu7jhb\" data-start=\"3004\" data-end=\"3016\">5.1 Prices<\/h3><p data-start=\"3017\" data-end=\"3110\">Unless otherwise stated in the quotation, the prices of the tables (excluding optional extras) are shown <strong data-start=\"3103\" data-end=\"3109\">Excl. VAT<\/strong>.<\/p><p data-start=\"3112\" data-end=\"3153\">By default, the prices <strong data-start=\"3133\" data-end=\"3151\">do not include<\/strong> :<\/p><ul data-start=\"3154\" data-end=\"3371\"><li data-section-id=\"76ywfg\" data-start=\"3154\" data-end=\"3203\">transport <strong data-start=\"3166\" data-end=\"3202\">Canada \u2192 destination airport<\/strong>,<\/li><li data-section-id=\"ruq3tj\" data-start=\"3204\" data-end=\"3250\">customs clearance, import duties and charges,<\/li><li data-section-id=\"1lrlt7h\" data-start=\"3251\" data-end=\"3283\">transfer from the airport to the warehouse,<\/li><li data-section-id=\"fz9k47\" data-start=\"3284\" data-end=\"3328\">final delivery to the practice\/facility,<\/li><li data-section-id=\"1rsgeur\" data-start=\"3329\" data-end=\"3371\">installation \/ commissioning (optional).<\/li><\/ul><h3 data-section-id=\"f1dcr\" data-start=\"3373\" data-end=\"3416\">5.2 Invoicing for items not included<\/h3><p data-start=\"3417\" data-end=\"3459\">The following services and charges are not included:<\/p><ul data-start=\"3460\" data-end=\"3731\"><li data-section-id=\"1w9iaoi\" data-start=\"3460\" data-end=\"3515\">invoiced <strong data-start=\"3471\" data-end=\"3494\">on separate lines<\/strong> as per quotation \/ invoice,<\/li><li data-section-id=\"6unyav\" data-start=\"3516\" data-end=\"3731\">and can be specified <strong data-start=\"3543\" data-end=\"3564\">by way of an estimate<\/strong> for final delivery and\/or installation, subject to possible adjustments depending on practical constraints (address, accessibility, floor, time slot, equipment required, etc.).<\/li><\/ul><h3 data-section-id=\"1u2vmx0\" data-start=\"3733\" data-end=\"3757\">5.3 Currency clause<\/h3><p data-start=\"3758\" data-end=\"3962\">The exchange rate shown on the quotation is <strong data-start=\"3801\" data-end=\"3833\">subject to review after 7 days<\/strong>.<br data-start=\"3834\" data-end=\"3837\" \/>In the event of a revision, the Seller will issue an updated quotation before the order is confirmed or before the relevant payment stage.<\/p><hr data-start=\"3964\" data-end=\"3967\" \/><h2 data-section-id=\"10btv83\" data-start=\"3969\" data-end=\"3997\">6. Terms of payment<\/h2><h3 data-section-id=\"esx2rn\" data-start=\"3998\" data-end=\"4015\">6.1 Terms and Conditions<\/h3><p data-start=\"4016\" data-end=\"4148\">Unless otherwise specified in the quotation, payment is due <strong data-start=\"4079\" data-end=\"4118\">exclusively by bank transfer<\/strong>, in accordance with the following timetable:<\/p><ol data-start=\"4150\" data-end=\"4560\"><li data-section-id=\"d9faqd\" data-start=\"4150\" data-end=\"4248\"><strong data-start=\"4153\" data-end=\"4164\">40% (including VAT)<\/strong> : <strong data-start=\"4167\" data-end=\"4205\">on shipment from Canada<\/strong> (initiation\/maintenance of dispatch)<\/li><li data-section-id=\"1tbs9q3\" data-start=\"4249\" data-end=\"4395\"><strong data-start=\"4252\" data-end=\"4263\">40% (including VAT)<\/strong> : <strong data-start=\"4266\" data-end=\"4324\">upon collection by the Seller at the destination airport<\/strong> (or on arrival at the destination as specified in the quotation)<\/li><li data-section-id=\"1hgfbzw\" data-start=\"4396\" data-end=\"4560\"><strong data-start=\"4399\" data-end=\"4408\">Balance<\/strong> : <strong data-start=\"4411\" data-end=\"4436\">upon final delivery<\/strong>, payable <strong data-start=\"4446\" data-end=\"4481\">upon receipt by the end customer<\/strong> (or prior to unloading if the carrier so requires, as stated in the quotation)<\/li><\/ol><p data-start=\"4562\" data-end=\"4683\">If any part of the logistics arrangements is changed (route, airport, mode of transport), the Seller shall amend the timetable in writing.<\/p><h3 data-section-id=\"1dgudli\" data-start=\"4685\" data-end=\"4711\">6.2 Late payment<\/h3><p data-start=\"4712\" data-end=\"4796\">Any delay in payment shall, as of right and without prior notice, result in:<\/p><ul data-start=\"4797\" data-end=\"5100\"><li data-section-id=\"jpcb3s\" data-start=\"4797\" data-end=\"4930\">late payment penalties calculated on the basis of the <strong data-start=\"4848\" data-end=\"4860\">ECB rate<\/strong> (most recent refinancing operation) <strong data-start=\"4906\" data-end=\"4929\">plus 10 points<\/strong>,<\/li><li data-section-id=\"6wuevj\" data-start=\"4931\" data-end=\"5026\">the statutory lump-sum compensation of <strong data-start=\"4967\" data-end=\"4975\">40 \u20ac<\/strong> for recovery costs (business customer),<\/li><li data-section-id=\"17wl50n\" data-start=\"5027\" data-end=\"5100\">and the option for the Seller to suspend any orders currently in progress.<\/li><\/ul><h3 data-section-id=\"1kekuij\" data-start=\"5102\" data-end=\"5118\">6.3 Discount<\/h3><p data-start=\"5119\" data-end=\"5210\"><strong data-start=\"5119\" data-end=\"5137\">No discount<\/strong> is not granted in the event of early payment, unless the Seller has given its written consent.<\/p><hr data-start=\"5212\" data-end=\"5215\" \/><h2 data-section-id=\"1ou79uo\" data-start=\"5217\" data-end=\"5263\">7. Deadlines \u2013 Delivery \u2013 Access \u2013 Handling<\/h2><h3 data-section-id=\"a43ylw\" data-start=\"5264\" data-end=\"5289\">7.1 Indicative deadlines<\/h3><p data-start=\"5290\" data-end=\"5322\">The deadlines are <strong data-start=\"5306\" data-end=\"5320\">indicative<\/strong> :<\/p><ul data-start=\"5323\" data-end=\"5469\"><li data-section-id=\"1rznwuk\" data-start=\"5323\" data-end=\"5411\">manufacture: <strong data-start=\"5339\" data-end=\"5367\">around 10 to 12 weeks<\/strong>, which may increase or decrease,<\/li><li data-section-id=\"1kxv18h\" data-start=\"5412\" data-end=\"5469\">transport: <strong data-start=\"5426\" data-end=\"5452\">approximately 1 to 3 weeks<\/strong>, which may vary.<\/li><\/ul><p data-start=\"5471\" data-end=\"5755\">Delays attributable to the manufacturer, transport, customs formalities, port or airport congestion, or any other logistical unforeseen event shall not entitle a business customer to cancellation, a penalty or damages, unless otherwise agreed in writing.<\/p><h3 data-section-id=\"dhp6ic\" data-start=\"5757\" data-end=\"5795\">7.2 Conditions of access \/ receipt<\/h3><p data-start=\"5796\" data-end=\"6168\">The Customer undertakes to provide all the information required for delivery (exact address, access, any restrictions).<br data-start=\"5921\" data-end=\"5924\" \/>The Customer shall ensure that the premises are accessible (access for lorries, manoeuvring area, floor restrictions, lift, etc.) and shall provide the necessary personnel and equipment for handling the goods, unless an installation service has been explicitly ordered.<\/p><p data-start=\"6170\" data-end=\"6308\">Any additional costs (re-delivery, waiting time, special handling, lifting equipment, a fixed delivery slot, access difficulties) will be charged to the Customer.<\/p><hr data-start=\"6310\" data-end=\"6313\" \/><h2 data-section-id=\"17m1lj8\" data-start=\"6315\" data-end=\"6342\">8. Transfer of risk<\/h2><p data-start=\"6343\" data-end=\"6570\">The <strong data-start=\"6346\" data-end=\"6371\">transfer of risk<\/strong> (loss, theft, damage) occurs <strong data-start=\"6404\" data-end=\"6452\">upon handover of the goods to the carrier<\/strong>, even in the case of carriage paid or where the Seller pays the transport costs, unless otherwise specified in the quotation.<\/p><p data-start=\"6572\" data-end=\"6760\">The Customer must check the condition of the parcels and goods on receipt, note any relevant and specific reservations on the delivery note, and confirm any claims in accordance with Article 11.<\/p><hr data-start=\"6762\" data-end=\"6765\" \/><h2 data-section-id=\"ev6ist\" data-start=\"6767\" data-end=\"6793\">9. Retention of title<\/h2><p data-start=\"6794\" data-end=\"7031\">The Seller retains title to the goods until the price (principal, interest and ancillary charges) has been paid in full.<br data-start=\"6913\" data-end=\"6916\" \/>In the event of non-payment, the Seller may reclaim the goods, without prejudice to any other course of action.<\/p><hr data-start=\"7033\" data-end=\"7036\" \/><h2 data-section-id=\"60uh31\" data-start=\"7038\" data-end=\"7086\">10. No returns or exchanges (made-to-measure)<\/h2><p data-start=\"7087\" data-end=\"7241\">Tables and products that have been configured, personalised or made to measure (options, colours, configuration, specifications) are <strong data-start=\"7215\" data-end=\"7240\">No returns or exchanges<\/strong>.<\/p><hr data-start=\"7243\" data-end=\"7246\" \/><h2 data-section-id=\"j742lz\" data-start=\"7248\" data-end=\"7295\">11. Complaints \u2013 Damage \u2013 Non-conformities<\/h2><h3 data-section-id=\"1ovsacv\" data-start=\"7296\" data-end=\"7319\">11.1 On delivery<\/h3><p data-start=\"7320\" data-end=\"7429\">The Customer must inspect the goods upon receipt. In the event of damage, missing items, impact or visible damage:<\/p><ul data-start=\"7430\" data-end=\"7533\"><li data-section-id=\"1sc2ttn\" data-start=\"7430\" data-end=\"7478\">reserves <strong data-start=\"7441\" data-end=\"7453\">precise<\/strong> on the delivery note,<\/li><li data-section-id=\"yz92j8\" data-start=\"7479\" data-end=\"7506\">instant photos\/videos,<\/li><li data-section-id=\"osr3k4\" data-start=\"7507\" data-end=\"7533\">notification to the Seller.<\/li><\/ul><h3 data-section-id=\"so268u\" data-start=\"7535\" data-end=\"7564\">11.2 Time limit for reporting<\/h3><p data-start=\"7565\" data-end=\"7680\">Any complaints should be addressed to <strong data-start=\"7604\" data-end=\"7627\"><a class=\"decorated-link cursor-pointer\" rel=\"noopener\" data-start=\"7606\" data-end=\"7625\">contact@tableinmotion.eu<\/a><\/strong> within <strong data-start=\"7645\" data-end=\"7668\">7 calendar days<\/strong> with effect from:<\/p><ul data-start=\"7681\" data-end=\"7820\"><li data-section-id=\"1av17sd\" data-start=\"7681\" data-end=\"7723\">upon delivery (obvious damage), or<\/li><li data-section-id=\"155ehnu\" data-start=\"7724\" data-end=\"7820\">from the date the defect is discovered (hidden damage), subject to the applicable warranties.<\/li><\/ul><p data-start=\"7822\" data-end=\"8016\">The complaint must include: <strong data-start=\"7854\" data-end=\"7871\">photos\/videos<\/strong>, <strong data-start=\"7873\" data-end=\"7892\">serial number<\/strong> from the table, the delivery note, order references and any other relevant information. Otherwise, the claim may be rejected.<\/p><hr data-start=\"8018\" data-end=\"8021\" \/><h2 data-section-id=\"1vbh2ho\" data-start=\"8023\" data-end=\"8044\">12. Warranty \u2013 After-sales service<\/h2><h3 data-section-id=\"1p7gre4\" data-start=\"8045\" data-end=\"8070\">12.1 After-sales service organisation<\/h3><p data-start=\"8071\" data-end=\"8270\">The Seller (MEDEQUIP) <strong data-start=\"8093\" data-end=\"8114\">centralises after-sales service<\/strong> for sales made under the TABLE IN MOTION brand. The Customer undertakes not to bypass the Seller in the processing of orders, unless instructed otherwise in writing.<\/p><h3 data-section-id=\"vlqmfq\" data-start=\"8272\" data-end=\"8286\">12.2 Duration<\/h3><p data-start=\"8287\" data-end=\"8426\">Unless otherwise stated in the quotation or in the manufacturer\u2019s documentation, the warranty is <strong data-start=\"8379\" data-end=\"8388\">2 years<\/strong>, <strong data-start=\"8390\" data-end=\"8407\">excluding upholstery<\/strong> (excluding upholstery).<\/p><h3 data-section-id=\"9amwqf\" data-start=\"8428\" data-end=\"8447\">12.3 Exclusions<\/h3><p data-start=\"8448\" data-end=\"8694\">The following are excluded: normal wear and tear, lack of maintenance, improper use, impact, transport-related incidents occurring after the transfer of risk (Article 8), unauthorised third-party intervention, and faults arising from non-compliant installation or environmental conditions.<\/p><p data-start=\"8696\" data-end=\"8894\">The warranty is limited, at the discretion of the Seller and\/or the manufacturer, to repair, replacement of parts or any equivalent technical solution, to the exclusion of any indirect compensation.<\/p><hr data-start=\"8896\" data-end=\"8899\" \/><h2 data-section-id=\"1qe4193\" data-start=\"8901\" data-end=\"8929\">13. Installation (optional)<\/h2><p data-start=\"8930\" data-end=\"9222\">Where installation is ordered as an optional extra, the terms and conditions (scope, prerequisites, date, access, exclusions) are set out in the quotation.<br data-start=\"9063\" data-end=\"9066\" \/>Any issues relating to access, a failure to meet prerequisites or a breach on the part of the Client may result in travel or downtime costs being passed on.<\/p><hr data-start=\"9224\" data-end=\"9227\" \/><h2 data-section-id=\"1fxdd7v\" data-start=\"9229\" data-end=\"9271\">14. Liability \u2013 Consequential damages<\/h2><p data-start=\"9272\" data-end=\"9422\">The Seller shall not be liable for consequential damages: loss of business, loss of turnover, loss of opportunity, damage to reputation, etc.<\/p><p data-start=\"9424\" data-end=\"9631\">The Seller\u2019s liability, for whatever reason, is limited to the amount (excluding VAT) actually paid by the Customer in respect of the order in question, except in cases of gross negligence or where mandatory provisions provide otherwise.<\/p><hr data-start=\"9633\" data-end=\"9636\" \/><h2 data-section-id=\"jdjc1f\" data-start=\"9638\" data-end=\"9658\">15. Force majeure<\/h2><p data-start=\"9659\" data-end=\"9903\">The Seller shall not be held liable in the event of force majeure (strikes, transport or customs blockades, natural disasters, supply shortages, administrative decisions, etc.). Obligations shall be suspended for the duration of the event.<\/p><hr data-start=\"9905\" data-end=\"9908\" \/><h2 data-section-id=\"m1yxdc\" data-start=\"9910\" data-end=\"9944\">16. Scope of application \u2013 Acceptance These GTC apply to any sale of products and\/or services offered under the TABLE IN MOTION brand by the Seller to a business customer (hereinafter the \u00abCustomer\u00bb) in France, within the European Union and internationally. Any order implies the Customer\u2019s full and unconditional acceptance of these Terms and Conditions, to the exclusion of any other document, unless otherwise agreed in writing by the Seller. 3. Products \u2013 Information \u2013 Scope of the Contract The Seller markets, in particular, professional tables and equipment, including custom-configured or made-to-measure products (e.g. ELITE tables configured according to options, colours, accessories and specifications). Only the order, the accepted quotation and its annexes (configuration, options, etc.) are contractually binding. 4. Quotation \u2013 Formation of the contract 4.1 Quotation Every sale is preceded by a quotation. Unless otherwise stated, the quotation is valid for 7 (seven) calendar days from the date of issue. 4.2 Acceptance \u2013 Order The order is formed by: written acceptance of the quotation (signature, \u201cagreed\u201d, or explicit confirmation by email), and payment in accordance with clause 6. The Seller reserves the right to refuse an order in the event of any irregularity, a previous outstanding payment, or a manifest commercial risk. 5. Prices \u2013 Services Not Included \u2013 Exchange Rates 5.1 Prices Unless otherwise stated in the quotation, the prices of the tables (excluding options) are quoted exclusive of VAT. By default, prices do not include: transport from Canada to the destination airport, customs clearance, import duties and charges, transfer from the airport to the warehouse, final delivery to the practice\/establishment, and installation\/commissioning (optional). 5.2 Invoicing of items not included Services and costs not included are: invoiced as separate line items on the quotation\/invoice, and may be shown as estimates for final delivery and\/or installation, subject to possible adjustment depending on actual constraints (address, accessibility, floor level, time slot, equipment required, etc.). 5.3 Exchange rate clause The exchange rate stated on the quotation is subject to revision after 7 days. In the event of a revision, the Supplier shall issue an updated quotation prior to order confirmation or prior to the relevant payment stage. 6. Terms of payment 6.1 Payment terms Unless otherwise specified in the quotation, payment shall be made exclusively by bank transfer, in accordance with the following schedule: 40% (including VAT): upon dispatch from Canada (initiation\/confirmation of dispatch) 40% (including VAT): upon receipt by the Seller at the destination airport (or upon arrival at the destination area as specified in the quotation) Balance: on final delivery, payable upon receipt by the end customer (or prior to unloading if required by the carrier, as stated in the quotation). Should any logistics stage be amended (route, airport, mode of transport), the Seller shall adjust the payment schedule in writing. 6.2 Late payment Any late payment shall automatically and without prior notice give rise to: late payment penalties calculated on the basis of the ECB rate (most recent refinancing operation) plus 10 basis points, the statutory flat-rate compensation of \u20ac40 for recovery costs (business customers), and the right for the Seller to suspend any orders in progress. 6.3 Discount No discount shall be granted for early payment, unless agreed in writing by the Seller. 7. Lead Times \u2013 Delivery \u2013 Access \u2013 Handling 7.1 Indicative lead times Lead times are indicative: manufacture: approximately 10 to 12 weeks, subject to variation either way; transport: approximately 1 to 3 weeks, subject to variation. Delays attributable to the manufacturer, transport, customs formalities, port or airport congestion, or any logistical unforeseen circumstances shall not entitle a business Customer to cancellation, a penalty or damages, unless otherwise agreed in writing. 7.2 Access and handover conditions The Customer undertakes to provide all information necessary for delivery (exact address, accessibility, restrictions). The Customer guarantees the accessibility of the premises (lorrie access, manoeuvring area, floor restrictions, lift, etc.) and shall provide the necessary personnel and equipment for handling the goods, unless an installation service has been explicitly ordered. Any additional costs (re-delivery, waiting time, specialised carrying, lifting equipment, imposed delivery slot, access difficulties) shall be charged to the Customer. 8. Transfer of risk The transfer of risk (loss, theft, damage) takes place upon handover of the goods to the carrier, even in the case of carriage paid or where the Seller pays the transport costs, unless otherwise stipulated in the quotation. The Customer must check the condition of the parcels and goods upon receipt, note any relevant and specific reservations on the delivery note, and confirm any claims in accordance with Article 11. 9. Retention of Title The Seller retains title to the goods until full payment of the price (principal, interest and ancillary costs). In the event of non-payment, the Seller may reclaim the goods, without prejudice to any other action. 10. No Returns or Exchanges (Bespoke Items) Tables and products that have been configured, personalised or made to measure (options, colours, configuration, specifications) cannot be returned or exchanged. 11. Complaints \u2013 Damage \u2013 Non-conformities 11.1 On delivery The Customer must inspect the goods upon receipt.
